This Service Agreement outlines the terms and conditions between New Moon Digital Marketing and the Client. New Moon Digital Marketing agrees to provide the Services described in Exhibit A and any additional Statements of Work agreed upon by the parties. In the case of any conflicts between the Statement of Work and this Agreement, the Agreement will prevail.

The Client agrees to pay New Moon Digital Marketing the Fees specified in the Statement of Work, in advance of the Services being performed, on a monthly, quarterly, annual, or other agreed-upon basis. The Fees are subject to change with thirty (30) days’ notice to the Client. If applicable, the Client is responsible for paying third-party providers directly for advertising costs and fees as per the monthly budget specified in the Statement of Work.

Both parties agree to keep all Confidential Information obtained in connection with this Agreement or the Services in strict confidence. The Confidential Information will be used only for the purpose of performing the Services. Neither party will disclose the Confidential Information without the other party's written consent, except in certain circumstances outlined in this Agreement.

The Advertising Accounts may be registered in the name of the Client by New Moon Digital Marketing but will remain the sole property of New Moon Digital Marketing. In the event of termination of this Agreement, the Client must pay all outstanding amounts owed to third-party providers with respect to the Advertising Accounts.

The Client may terminate this Agreement at any time with three (3) days' written notice to New Moon Digital Marketing. New Moon Digital Marketing may terminate this Agreement with ten (10) days' written notice to the Client or immediately if the Client breaches its obligations under this Agreement and does not cure the breach within three (3) days of receiving written notice. Upon termination, the Client must pay New Moon Digital Marketing for Services performed and expenses incurred up to the date of termination, less any previous payments.

New Moon Digital Marketing makes no representations or warranties of any kind regarding the Services and will not be liable for any indirect, consequential, special, exemplary, or punitive damages, including but not limited to loss of revenue or profits, arising from this Agreement or the Services. The liability of either party for any breach of this Agreement or from any acts or omissions will be limited to direct damages only.

This Agreement will be governed by and construed in accordance with the substantive laws of the Province of Alberta and the federal laws.
